Starting in January 2024, license holders will have the option to register certain LLCs and S-Corps with the Texas Real Estate Commission to accept compensation. The registered entity cannot perform any other brokerage activity and must be 51% owned by the license holder on whose behalf the entity receives compensation. See below for the documents you’ll need to support your business entity’s registration, which you will email to TREC after submitting your application and payment online.
Documents to Register an LLC
The following documents must be submitted to TREC to demonstrate the business entity is an LLC:
- Copy of Certificate of Formation or Certificate of Amendment(s) filed with the Texas Secretary of State
OR
- Franchise Tax Account Status
You must also submit evidence that you own at least 51% of the LLC, such as one of the following:
- Company Agreement
- Company Resolution
- IRS Schedule K-1
Documents to Register an S-Corp
The following documents must be submitted to TREC to demonstrate the business entity is an S-Corp:
- Copy of Certificate of Formation (or equivalent corporate filing from another state) or Certificate of Amendment(s) filed with the Secretary of State
AND
- Copy of accepted IRS Form 2553 filed with the Internal Revenue Service or determination letter
You must also submit evidence that you own at least 51% of the S-Corp, such as one of the following:
- Stock Certificates
- Stock Ledger
- Corporate Resolution or Meeting Minutes
- IRS Schedule K-1
